Analysis of Major Cases on Corporate Law in 2019

초록 : 이 글은 2019년에 내려진 주요 회사법 판결들을 검토하기 위한 것이다. 다만 2018. 12. 17.자 2016마272 판결은 비록 2018년에 내려진 것이기는 하나 함께 포함시켰다. 지난 호(본지 2019년 3월호) 집필 시 입수되지 않아 다루지 못했지만, 주식매수청구권에 관한 중요법리를 밝히고 있기 때문이다. 본문에서는 10개의 대법원 판결을 (i) 주식 및 주주, (ii) 주주총회, 이사회 및 이사, (iii) 기업구조조정 등의 세 분야로 나누어 보았다. 여기에 (iv) 마지막으로 하급심을 포함한 두 판결의 요지만을 간단히 소개했다.

명의개서를 다투는 소의 형태, 조정의 창설적 효력범위, 주주총회결의 취소의 소 계속 중 원고 이사의 사망 등 소송법과 회사법의 교착지점에서 발생한 쟁점이 많았다는 점이 흥미롭다. 아울러 예년처럼 이사 책임에 관한 판결도 여러 건이었다. 사회적으로 이목을 끌었던 강원랜드 기부사건, 프라임상호저축은행 분식회계/부실대출 사건이 수년 후 대법원 판결로 재등장하게 되었다. 임무해태에는 반드시 상응한 민사적 책임이 수반된다는 선례가 정립되면, 사전적으로도 이사들의 주의수준을 높이는 데 기여할 것이다. 아울러 사례의 집적으로 임무수행의 명확한 기준을 제시할 필요도 있다.

Abstract : Among those decisions rendered by the Korean Supreme Court in 2019 and late 2018, this paper focuses on corporate law cases dealing with critical jurisprudence. Ten major Supreme Court decisions in this paper are classified as ① shares and shareholders, ② shareholders meeting, board and directors and ③ restructuring and other issues which cover appraisal remedy and piercing corporate veil. Compared to prior periods, the year 2019 had more cases whose main arguments were associated with procedural aspect of civil litigation rather than traditional corporate law issues. (e.g. what type of litigation should be taken to correct mis-registered shareholders’ list?) Further some notorious corporate scandals reached final decisions of the Supreme Court. In Kangwon Land case and Prime Savings Bank case, many directors or shadow-directors were found to breach their fiduciary duty and be responsible for the damages borne by their corporations.
